Deed of Novation
Transfer a contract to a new party with everyone's agreement, so the new party steps into the old party's shoes.
Before you start
- Read the agreement being novated: check whether anyone else must consent to the transfer (for example a financier, guarantor, landlord or head contractor) and whether the agreement sets any conditions on a transfer. Get those consents before, or at the same time as, this deed is signed.
- Guarantees: if someone guaranteed the Outgoing Party's obligations, that guarantee does not automatically cover the Incoming Party. A new guarantee may be needed.
What you'll need
Each party's full name, ACN or ABN (if any) and address; the name and date of the agreement being novated; the date the novation takes effect; details of any security deposit or bank guarantee held under the agreement; and any extra warranties the parties have agreed.
