Disclosure Letter (Share Sale)

The seller's letter that discloses matters against the warranties in a share sale, so the buyer can't later claim it wasn't told.

Before you start

  • The agreement: have the Share Sale Agreement (Full Form) in front of you. The warranty numbers in the letter match Schedule 3 of the agreement.
  • Company records: the constitution, share register, ASIC extract, PPSR search, accounts, leases, material contracts, insurance policies, any loan agreements between the company and the Vendor, and tax records.
  • Employee information: for each employee, their position, start date, employment type, pay, award or enterprise agreement, and accrued leave.
  • Searches: if you will rely on searches (clause 3.1(a) of the letter), get current ASIC, PPSR, IP Australia and NSW Land Registry Services searches and include copies in the Disclosure Materials.
