Company and shares
Share Sale Agreement (Full Form)
A full agreement to buy or sell all the shares in a private company, with warranties, disclosure, completion steps and restraints.
Before you start
- Companion documents: the agreement comes with 2 companion documents. The Disclosure Letter (Share Sale) is where the Vendor discloses matters against the warranties in Schedule 3. The Share Transfer Form is the transfer the Vendor signs and hands over at Completion.
- NSW only: the agreement is drafted for New South Wales. If the company or a subsidiary holds land in another State, or a party is outside NSW, the duty and governing law provisions need review.
- Party details: full names, ABN or ACN, addresses, emails and bank account details of the Vendor and the Purchaser, and the names and addresses of each Key Person.
- Company details: the company's name, ACN, registered office, share capital, shareholders, directors, secretary, subsidiaries, any land it owns and any PPSR registrations.
